1. Acceptance of terms
1.1. These Terms of Service ("Terms") govern your access to and use of the website, publications, and online services of Innovative and Equal (Armenian: Նորարար ու Հավասար), registration MOJ: 211.171.1242074, 14 Petros Adamyan St, Yerevan 0010, Armenia ("the Organization"). 1.2. By accessing our website, submitting a form, or making a donation, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use of our services.
2. Definitions
2.1. "Content" means all text, reports, data visualizations, images, and other materials published by the Organization. 2.2. "User Submission" means any material a user voluntarily submits to us, including comments, testimonials, applications, and survey responses. 2.3. "Services" means the website, donation platform, publications, newsletters, and any programmatic online tools we operate.
3. Eligibility and account use
3.1. Our Services are intended for users aged 16 or older, except where a program specifically involves minors under appropriate guardian consent and organizational safeguarding protocols. 3.2. Where an account or login is required, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
4. Permitted use
4.1. You may access and use our Services for lawful, non-commercial purposes consistent with our mission. 4.2. You must not: (a) use our Services to harass, defame, or discriminate against any person or group; (b) attempt to gain unauthorized access to our systems; (c) upload malicious code; (d) misrepresent your affiliation with the Organization; or (e) use automated means to scrape or reproduce our Content at scale without permission. 4.3. We reserve the right to suspend or terminate access for any user who violates these Terms.
5. Intellectual property and licensing
5.1. All Content is the property of the Organization or its licensors and is protected by Armenian and international copyright law. 5.2. Unless otherwise stated, our research reports and publications are made available under a Creative Commons Attribution-NonCommercial 4.0 International (CC BY-NC 4.0) license, allowing you to share and adapt the material for non-commercial purposes with appropriate attribution to the Organization and a link to the license. 5.3. Our name, logo, and visual identity are not covered by the CC license and may not be used to imply endorsement without our prior written consent.
6. User submissions
6.1. By submitting content to us (e.g., a testimonial, comment, or survey response), you grant the Organization a non-exclusive, royalty-free, worldwide license to use, reproduce, and publish that content in connection with our mission, subject to any specific consent restrictions you note at submission (e.g., anonymization requests). 6.2. You warrant that your submission does not infringe any third-party rights and is not unlawful, defamatory, or discriminatory.
7. Donations and refunds
7.1. Donations made through our website are processed via third-party PCI-DSS compliant payment processors; we do not store full card details. 7.2. Donations are generally non-refundable once processed, except where required by applicable consumer protection law or in cases of demonstrable processing error, in which case you must contact us within 14 days of the transaction. 7.3. We issue donation receipts for tax purposes upon request, in accordance with Armenian tax legislation applicable to non-profit organizations.
8. No professional or legal advice
8.1. Content on our website, including research reports and general legal-aid information, is provided for informational and educational purposes only and does not constitute individualized legal, medical, financial, or professional advice. 8.2. Reliance on any such Content is at your own risk; individualized advice is available only through our direct legal aid or counseling services, subject to a separate service relationship and applicable confidentiality protections.
9. Third-party links
9.1. Our website may contain links to third-party websites (partners, donors, government bodies) for convenience. We do not control and are not responsible for the content, privacy practices, or availability of such sites, and inclusion of a link does not imply endorsement.
10. Availability and modification
10.1. We strive to keep our Services available but do not guarantee uninterrupted or error-free access. 10.2. We may modify, suspend, or discontinue any part of our Services at any time, with reasonable notice where practicable.
11. Limitation of liability
11.1. To the maximum extent permitted by Armenian law, the Organization shall not be liable for any indirect, incidental, or consequential damages arising from your use of our Services. 11.2. Nothing in these Terms limits liability that cannot be excluded under mandatory Armenian law, including liability for death, personal injury, or gross negligence.
12. Indemnity and suspension
12.1. You agree to indemnify the Organization against claims arising from your breach of these Terms or misuse of our Services. 12.2. We may suspend or terminate your access immediately, without notice, in cases of suspected fraud, abuse, or threat to the safety of staff or beneficiaries.
13. Governing law and dispute resolution
13.1. These Terms are governed by the laws of the Republic of Armenia, without regard to conflict-of-law principles. 13.2. Any dispute shall first be attempted to be resolved through good-faith negotiation and, where unsuccessful, mediation. 13.3. Failing mediation within 60 days, disputes shall be subject to the exclusive jurisdiction of the competent courts of Yerevan, Armenia.
14. Amendments and severability
14.1. We may amend these Terms from time to time; material changes will be posted with an updated effective date at least 14 days in advance. 14.2. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
